General Terms and Conditions (“GTC”)

Cribs Luxembourg S.A.
Real Estate Online Platform

1. Introduction
1.1
These General Terms and Conditions ("GTC") govern all aspects of the use of the Cribs online real estate platform ("Platform") operated by Cribs Luxembourg S.A. ("Cribs"), a company registered in Luxembourg (company number B289735) with its registered office at 17, Allée Louis Ackermann, L-1897 Kockelscheuer.
1.2.
By accessing, browsing, registering, or using the Platform in any manner, Users and Agents (as defined below) agree to be bound by these GTC and any additional terms referenced herein. If you do not agree with any provision of these GTC, you must not use the Platform.
1.3.
The Platform is provided on an “as is” and “as available” basis. Use of the Platform is subject to any posted notices, policies, or guidelines, which are hereby incorporated by reference.
1.4.
Additional agreements, including but not limited to subscription plans, feature-specific add-ons, and premium services, may apply to specific functionalities of the Platform. Such agreements, once accepted by the relevant party, become part of these GTC.
2. Scope and Definitions
2.1. Scope
These GTC apply to all Users, including but not limited to real estate professionals ("Agents") and prospective buyers, renters, or other interested parties ("Users") who access or use the Platform.
2.2. Definitions
For the purposes of these GTC, the following terms shall have the meanings indicated below:
Platform
means the online real estate service provided by Cribs Luxembourg S.A. including all associated websites, mobile applications, and APIs.
User
means any individual or legal entity accessing or using the Platform for personal, informational, or transactional purposes.
Agent
means a licensed real estate professional using the Platform to list, promote, or manage real estate objects and projects.
Content
means all text, images, data, documents, and other materials submitted, uploaded, or otherwise provided by Users or Agents to the Platform.
Account
means the registered profile created by a User or Agent, which may include personal information, preferences, and activity history.
Subscription
means any paid service plan or feature available on the Platform.
Slot
means a designated digital space on the Platform used for listing a real estate object or project, subject to the rules set forth in Section 3.3.
3. Registration, Account, and Security
3.1. Registration
Access to certain features of the Platform requires registration and the creation of an Account.
All users must provide accurate, current, and complete information during registration and update such information as necessary to maintain its accuracy.
Agents may be required to submit additional verification documents, including professional licenses and proof of registration with relevant regulatory authorities.
3.2. Account Security
Users are responsible for maintaining the confidentiality of their account credentials (e.g., usernames and passwords) and for all activities that occur under their account.
Users must immediately notify Cribs of any unauthorized use or security breach affecting their account.
Cribs reserves the right to suspend or terminate any account found to be in violation of these GTC or engaging in fraudulent or harmful activities.
4. Platform Features
4.1. User Features
Registered users may:
  • Access to certain features of the Platform requires registration and the creation of an Account.
  • All users must provide accurate, current, and complete information during registration and update such information as necessary to maintain its accuracy.
  • Agents may be required to submit additional verification documents, including professional licenses and proof of registration with relevant regulatory authorities.
4.2. Agent Features
Registered Agents may:
  • Upload, manage, and edit property listings and project descriptions.
  • Access and analyze detailed performance metrics and User engagement data.
  • Communicate directly with Users via the Platform’s messaging system.
  • Receive and organize meeting schedules and User-provided documents.
  • Access financial and market analytics relating to the real estate sector.
  • Manage booking requests and other transactional services.
  • Might have access to other data related information and analytics
4.3. Listing Slots
  • Listings are maintained in digital "slots."
  • An Agent or Agency may upload multiple listings, but only one listing per slot may be active at any given time.
  • The official fee for each slot is €19 (excluding VAT) per month, with a monthly renewal basis.
  • Slot availability, activation rules, and renewal procedures will be communicated to Agents and may be updated from time to time.
4.4. Cribs’ Role
  • Cribs acts solely as a technology provider facilitating connections between Users and Agents.
  • Cribs does not participate in, verify, or guarantee the accuracy, legality, or quality of Agent-provided Content, nor does it guarantee the suitability of any real estate object or project.
  • Any contractual relationship for the purchase, rental, or other transactions involving real estate is solely between the relevant User and Agent, and Cribs is not a party to such transactions.
5. User Obligations
User agrees to:
5.1.
Provide accurate, complete, and current information during registration and while using the Platform.
5.2.
Use the Platform in a lawful and responsible manner, avoiding activities such as spamming, harassment, or any other conduct that may harm other Users, Agents, or the operation of the Platform.
5.3.
Not attempt to circumvent or compromise the security features of the Platform, including but not limited to hacking, reverse engineering, or any form of unauthorized data collection.
5.4.
Respect the intellectual property rights of third parties and refrain from uploading or distributing content that is defamatory, illegal, or infringes on third-party rights.
5.5.
Abide by any additional guidelines or codes of conduct as provided by Cribs from time to time.
6. Agent Obligations
Agent agrees to:
6.1.
Provide accurate, up-to-date, and complete information for all property listings and real estate projects, including but not limited to descriptions, images, pricing, availability, and legal compliance details.
6.2.
Maintain any required professional licenses and ensure that their activities on the Platform comply with all applicable laws, regulations, and industry standards.
6.3.
Respond promptly and professionally to inquiries from Users and to update listings as necessary.
6.4.
Abstain from uploading any content that is illegal, defamatory, misleading, or otherwise inappropriate, including the promotion of services or properties not directly related to real estate.
6.5.
Comply with any additional guidelines or contractual obligations associated with premium services, subscriptions, or specialized features of the Platform.
7. Intellectual Property and License
7.1. Ownership
  • Agents retain ownership rights over the Content they upload; however, by submitting such Content to the Platform, Agents grant Cribs a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to display, reproduce, distribute, and promote the Content solely in connection with the operation and marketing of the Platform. This will include promotion on social media and offline possibilities such as posters on public places.
  • All other intellectual property rights, including but not limited to software code, design elements, functionalities, and analytics, are the exclusive property of Cribs or its licensors and are protected under applicable intellectual property laws.
7.2. Restrictions.
  • Users and Agents are prohibited from copying, modifying, distributing, or creating derivative works based on Cribs’ intellectual property without express written consent.
  • The upload of Content that violates third-party intellectual property rights is strictly prohibited, and any such violation may result in immediate suspension or termination of the offending account.
8. Financial Analytics Disclaimer
8.1.
The Platform may provide financial, and market analytics derived from third-party sources for informational purposes only.
8.2.
Such analytics are estimates and should not be construed as investment advice or a guarantee of future performance. Cribs expressly disclaims any liability for decisions made based on this information.
8.3.
Users and Agents are advised to seek independent professional advice before making any financial or real estate-related decisions.
9. Confidentiality, Data Protection, and Privacy
9.1. Confidentiality
  • All communications and document exchanges facilitated by the Platform are to be treated as confidential.
  • Neither party shall disclose confidential information obtained through the Platform to any third party without prior written consent, except as required by law.
9.2. Data Protection
  • Cribs processes personal data in compliance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.
  • Detailed information on the collection, use, storage, and processing of personal data is provided in Cribs’ Privacy Policy, which forms an integral part of these GTC.
  • Users and Agents consent to the processing of their personal data as described in the Privacy Policy.
9.3. Security
  • Cribs implements commercially reasonable measures to protect personal data; however, no data transmission or storage system can be guaranteed as 100% secure.
  • Users are responsible for maintaining the security of their Account and must report any security breaches immediately.
10. Fees, Payments, and Refunds
10.1. Subscription and Fees.
  • Access to certain features of the Platform may require a paid Subscription. The applicable fees will be clearly displayed and must be accepted prior to the commencement of any paid service.
  • The fee for a Listing Slot is set at €19 (excluding VAT) per month, subject to change upon prior notice as provided in Section 12.
10.2. Payment Terms
  • Payments shall be made in accordance with the chosen Subscription plan. Payment methods, billing cycles, and invoicing procedures will be detailed on the Platform.
  • In the event of a failed or delayed payment, Cribs reserves the right to suspend access to premium features or terminate the account after reasonable notice.
  • Payment can be made:
    • For credit cards via Stripe. Policies and information can be found on https://stripe.com
    • Bank transfer. Payments must be made on the bank account which is indicated on the invoice. Please note that services will only be activated after reception of the full amount as listed on the invoice. Payment delays may result in a suspension of the service(s).
    Cribs cannot be held responsible for payments that fail due to any issues with Stripe or the banks where the payments are processed. Cribs only receives payments and does not handle any transactions from agents or users.
10.3. Refunds and Cancellations.
  • Fees are non-refundable unless explicitly stated otherwise in a separate agreement or where required by applicable law.
  • Cancellation of a Subscription will be effective at the end of the current billing cycle unless otherwise agreed in writing.
10.4. Changes to Fees.
  • Cribs reserves the right to modify fee structures or pricing at any time. Notice of material changes will be provided in advance via email or on the Platform.
  • Continued use of the Platform after such changes constitutes acceptance of the new fees.
11. Limitation of Liability and Disclaimers
11.1. General Disclaimer.
  • The Platform is provided on an “as is” and “as available” basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Cribs does not warrant that the Platform will be uninterrupted, error-free, or secure.
11.2. Limitation of Liability
  • In no event shall Cribs, its directors, employees, or affiliates be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use or inability to use the Platform, including inaccuracies in Agent-provided Content, financial decisions based on provided analytics, or any disputes between Users and Agents.
  • Crib’s aggregate liability under these GTC, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the User or Agent in the preceding six (6) months.
11.3. Third-Party Content and Links.
  • The Platform may contain links to third-party websites or resources. Cribs is not responsible for the availability, accuracy, or content of such third-party sites and does not endorse them.
  • Any dealings with third parties are solely between the User and the third party, and Cribs is not liable for any loss or damage arising from such interactions.
12. Amendments and Modifications
12.1.
Cribs reserves the right to amend, modify, or update these GTC at its sole discretion.
12.2.
Material changes that affect the rights or obligations of Users and Agents will be communicated in advance via email or through prominent notices on the Platform.
13. Term, Termination, and Suspension
13.1. Term.
These GTC are effective upon the User’s or Agent’s first use of the Platform and shall remain in effect until terminated in accordance with this Section.
13.2. Termination by the User or Agent.
A User or Agent may terminate their Account at any time by following the termination procedures provided on the Platform. Termination will not relieve any outstanding payment obligations.
13.3. Termination by Cribs.
  • Cribs reserves the right to suspend or terminate any Account or access to the Platform without prior notice if the User or Agent violates these GTC, engages in fraudulent activity, or if such action is necessary for security or legal compliance.
  • Upon termination, all rights granted to the User or Agent under these GTC shall immediately cease, except for any accrued rights or liabilities.
  • Cribs can refuse and/or suspend any account at any time even without giving a reason why.
13.4. Post-Termination.
Termination does not affect any rights or liabilities that have accrued prior to termination, including payment obligations or indemnification obligations.
14. Governing Law and Dispute Resolution
14.1. Governing Law
These GTC shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles.
14.2. Jurisdiction
Any dispute arising out of or related to these GTC, the Platform, or any related services shall be subject to the exclusive jurisdiction of the courts of Luxembourg.
14.3. Alternative Dispute Resolution.
  • Where appropriate and agreed upon by both parties, disputes may be referred to mediation or arbitration before resorting to litigation.
  • Any such mediation or arbitration procedures shall be conducted in accordance with the rules established by an agreed-upon alternative dispute resolution provider.
15. Force Majeure
15.1.
Cribs shall not be liable for any failure or delay in performance under these GTC resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, governmental actions, or technical failures.
15.2.
In the event of a force majeure event, Cribs shall make reasonable efforts to resume normal operations as promptly as possible.
16. Severability
16.1.
CIf any provision of these GTC is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid, enforceable provision that most closely reflects the intent of the original provision.
17. Entire Agreement
17.1.
These GTC, together with any additional agreements, policies, or guidelines referenced herein (including the Privacy Policy), constitute the entire agreement between the User or Agent and Cribs regarding the use of the Platform.
17.2.
Any prior agreements, understandings, or representations, whether oral or written, are hereby superseded.
